Terms of service
The terms that apply to the services of Nuts & Code.
These terms explain the main agreements for Nuts & Code services. They supplement the NLdigital Terms 2025, which we provide free of charge on request.
Article 1: Definitions
In these terms of service the following definitions apply:
FreshConnected: FreshConnected B.V., established at Ericssonstraat 2, 5121 ML Gilze-Rijen, registered with the Dutch Chamber of Commerce.
Nuts & Code: the services and subscription that FreshConnected offers under the trade name Nuts & Code.
Client: the natural or legal person who enters into an agreement with FreshConnected.
Agreement: the written or digital order confirmation with which the client takes out a Nuts & Code subscription.
Article 2: Applicability
2.1 The NLdigital Terms 2025 apply to all quotations, order confirmations and agreements between FreshConnected and the client. These are provided free of charge on request.
2.2 The provisions in this document supplement those terms and apply specifically to Nuts & Code. Where they deviate from the NLdigital Terms 2025, the provisions in this document take precedence, insofar as they relate to Nuts & Code.
2.3 Other deviations are only valid if agreed in writing.
Article 3: The subscription
3.1 Nuts & Code is a subscription consisting of a one-off setup and an ongoing monthly subscription.
3.2 The subscription includes: build and delivery of the software or website, hosting, SSL certificate, technical maintenance, CMS access and support in line with the chosen package.
3.3 The minimum term of the subscription is 36 months from the date of going live.
3.4 After the minimum term the subscription continues monthly and can be cancelled with one calendar month's notice.
Article 4: Prices and payment
4.1 The one-off setup costs are due at the start of the project and are invoiced upon signing the agreement.
4.2 The monthly subscription is invoiced annually in advance by default, unless agreed otherwise in writing.
4.3 All prices are exclusive of VAT (21%), unless stated otherwise.
4.4 Invoices must be paid within 14 days of the invoice date. In the event of late payment the client is in default by operation of law and FreshConnected is entitled to suspend its services.
4.5 FreshConnected reserves the right to index the subscription price annually based on the CBS consumer price index (CPI).
Article 5: Delivery and going live
5.1 FreshConnected aims to take the website live within 5 to 7 business days after all required content and materials have been supplied.
5.2 The client is responsible for supplying texts, images and other content on time. Delays caused by content being supplied late are not the responsibility of FreshConnected.
Article 6: Use and management
6.1 The client is given access to the CMS to manage content themselves. FreshConnected is not responsible for damage resulting from improper use of the CMS by the client.
6.2 Technical maintenance, such as updates, security and backups, is included in the subscription. Content changes outside the CMS fall outside the subscription and are quoted separately.
Article 7: Ownership
7.1 The content supplied by the client, such as texts, images and logos, remains the property of the client.
7.2 The website setup, templates, themes and technical infrastructure are and remain the property of FreshConnected. Upon termination of the subscription the right to use them lapses.
7.3 On request FreshConnected provides an export of the content supplied by the client upon termination.
Article 8: Liability
8.1 FreshConnected is not liable for indirect damage, consequential damage or lost profit.
8.2 The liability of FreshConnected is in all cases limited to the amount charged in the relevant calendar month.
8.3 FreshConnected is not responsible for outages or disruptions at external service providers, such as hosting partners, DNS providers and similar parties.
Article 9: Cancellation and termination
9.1 Cancellation during the minimum term of 36 months is not possible. The remaining subscription term remains payable.
9.2 After the minimum term, cancellation is possible with one calendar month's notice, by email to hello@nutsandcode.dev.
9.3 FreshConnected is entitled to terminate the agreement immediately if the client fails to meet its payment obligations and remains in default after a reminder.
Article 10: Applicable law and disputes
10.1 All agreements are governed by Dutch law.
10.2 Disputes are first resolved amicably. If this is not possible, they are submitted to the competent court in the Zeeland-West-Brabant district.
